This End User License Agreement ("Agreement") is between you and Mike Tucci Mastering Inc ("Licensor", "we") and governs your use of the Master Split software application for macOS (the "Software").
By installing, activating, or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.
Subject to payment and your compliance with this Agreement, we grant you a personal, perpetual, non-exclusive, non-transferable license to install and use the Software on one (1) Apple Mac computer that you own or control. "Perpetual" means the license does not expire; it does not mean maintenance, updates, or support are promised forever (see §7).
Demo licenses grant the same rights for a limited period stated at issuance, after which the Software ceases to operate until a paid license is activated.
The Software requires a license key and periodically validates it over the internet against our license server. You may move your license between machines using the Software's deactivation feature. The Software continues to operate without an internet connection for up to thirty (30) days after its last successful validation. We may revoke license keys obtained fraudulently, charged back, or refunded.
You retain all rights to audio you process with the Software and to the stems it produces. We claim no ownership of, and receive no copy of, your audio: all audio processing occurs locally on your computer (see the Privacy Policy).
You are solely responsible for ensuring you have the legal right to process the audio you use with the Software. Separating or using recordings you do not own or lack permission to use may infringe third-party rights; the Software is a tool, and your use of its output is your responsibility.
You may not, except to the extent permitted by applicable law:
The Software includes or downloads open-source components and machine-learning models, each subject to its own license terms. Acknowledgments are listed in the User Manual (§8). Open-source licenses that grant you rights are not limited by this Agreement.
Audio is processed locally and never uploaded. The Software transmits limited technical data for license validation and update checks, as described in the Privacy Policy (https://mastersplit.app/privacy), which is incorporated into this Agreement.
The Software may download and install updates automatically. We may provide support and updates at our discretion. We may discontinue the product; §1's license survives discontinuation, but server-dependent functions (activation of new machines, license transfer) may cease. If we permanently discontinue the license service, we will issue a final update that removes online validation so installed copies keep working.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-BASED SEPARATION IS INHERENTLY IMPERFECT; WE DO NOT WARRANT ANY PARTICULAR QUALITY OF SEPARATION RESULT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE, AND WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. Some jurisdictions do not allow certain limitations; these apply to the fullest extent permitted.
This Agreement terminates automatically if you materially breach it. Upon termination you must cease using the Software and we may revoke your license key. §§3, 8, 9, 11 survive termination.
This Agreement is governed by the laws of New York, without regard to conflict-of-law rules; exclusive venue lies in the courts of New York, NY. This is the entire agreement regarding the Software and supersedes prior communications. If any provision is unenforceable, the remainder stands. You may not assign this Agreement; we may assign it in connection with a sale of the business. U.S. export laws may apply to the Software; you represent you are not barred from receiving it.
